Under this Agreement, one party is the Seller, on the one hand, and any person, which has accepted the terms of this Public Offering Agreement – Buyer, on the other hand, further together – Parties, entered into this Public Offering Agreement (further - the Agreement), addressed to an unlimited number of persons, which is the official public offer of the Seller to enter into a contract of sale of the Goods with the Buyers, photos of which are posted in the relevant section of the https Website://maritel.com.ua.
Sellers, intending to sell the Goods through the https Website://maritel.com.ua and Buyers when purchasing Goods, images of which are posted on the relevant pages of the https Website://maritel.com.ua, accept the terms of this Agreement as follows.
1.1. The contractual relationship between the Seller and the Buyer is executed in the form of a Public Offer Agreement. Clicking on the https Website page://maritel.com.ua in the corresponding section of the “ORDER” button (or similar), means, that Buyer, regardless of status (individual, legal entity, individual entrepreneur), according to the current international and Ukrainian legislation, took into account the terms of the Public Offer Agreement, which are listed below.
1.2. The public offer agreement is public, that is, in accordance with the articles 633, 641 Of the Civil Code of Ukraine, its terms are the same for all Buyers, regardless of status (individual, legal entity, individual entrepreneur). 1.4. To regulate the contractual relationship under the Agreement, the Parties shall elect and, if necessary, apply Ukrainian legislation. "Product" – subject of trade (product, model, accessory, components and accompanying items, any other items of trade), regarding the purchase of which on the https Website://maritel.com.ua posted the offer of the Seller.
"Buyer" – any able-bodied physical, legal entity, individual entrepreneur, according to the current Ukrainian legislation, who visited the https website://maritel.com.ua and intend to purchase this or that Goods.
"Seller" – any able-bodied physical, legal entity, individual entrepreneur, according to the current international and Ukrainian legislation, who are the owners or distributors of the Goods and through the https Website://maritel.com.ua intend to sell it.

3.1. 3.4. The seller confirms, which has all the necessary permits for business activities, which regulate the sphere of legal relations, arising and acting in the course of performance of this Agreement, and also guarantees, having the right to produce and / or sell the goods without any restrictions, in accordance with the requirements of current legislation of Ukraine, and undertakes to be liable in case of violation of the rights of the Buyer in the course of performance of this Agreement and sale of the Goods.
4.1. The seller is obliged:
– comply with the terms of this Agreement;
– fulfill the Buyer's order in case of payment from the Buyer;

– unilaterally suspend the provision of services under this Agreement in case of violation by the Buyer of the terms of this Agreement.
4.3. Seller:

5.1. 9.1. 10.1. The Parties shall be liable for non-performance or improper performance of the terms of this Agreement in accordance with the procedure, provided for in this Agreement and, current international and Ukrainian legislation.
10.2. In case of disputes, related to the implementation of this Agreement by the Parties, except for disputes over debt collection from the Buyer, The parties agree to resolve them through negotiations in accordance with the claims procedure. In disputes related to the recovery of debt from the Buyer, compliance with the claim procedure is not required.
10.3. All disputes, differences or requirements, arising out of or in connection with this Agreement, including those related to its implementation, violation, termination or invalidity, subject to decision in the relevant court in accordance with international and Ukrainian substantive and procedural law.
11.1. The parties are not liable for failure to fulfill any of their obligations, except for payment obligations, if proved, that such non-compliance was caused by force majeure, that is, events or circumstances, are indeed beyond the control of such Party, occurred after the conclusion of this Agreement, which are unforeseen and inevitable. They belong to force majeure circumstances, in particular, natural disasters, strikes, fires, floods, explosions, icing, war (as announced, and unannounced), stab, loss of goods, delays of carriers, caused by accidents or adverse weather conditions, dangers and accidents at sea, embargo, disasters, limitation, imposed by public authorities (including distribution, priorities, official requirements, quotas and price control), if these circumstances directly affected the performance of this Agreement.
11.2. Side, for which it has become impossible to fulfill the obligations under this Agreement due to force majeure, shall immediately inform the other Party in writing of the occurrence of the above circumstances, as well as during 30 (thirty) calendar days to provide the other Party with confirmation of force majeure. This confirmation will be a certificate, certificate or other relevant document, issued by an authorized state body, located at the place of occurrence of force majeure.
11.3. Time, required by the Parties to fulfill their obligations under this Agreement, will be extended for any period, during which execution was postponed due to the above circumstances.
11.4. If due to force majeure the non-performance of obligations under this Agreement lasts more than three months, each of the Parties has the right to terminate this Agreement unilaterally, notifying the other party in writing.
